Speed2Seed Terms and Conditions for Program Partners

Welcome to Speed2Seed! Thank you for your interest in supporting the next generation of HealthTech and FinTech startups as a Program Partner. Before you register your interest or sign a Memorandum of Understanding (MOU), please read these Terms and Conditions carefully. By registering online or signing an MOU with Speed2Seed, you acknowledge that you have read, understood, and agree to be bound by these terms.


1. About Speed2Seed Program Partnerships

Speed2Seed is a 14-week startup accelerator programme operated by Xamun.AI ("we", "us", "Xamun", or "Speed2Seed"). Program Partners play a vital role in our ecosystem by providing co-promotion, visibility, network access, and optionally venue or event support.

Program Partnerships are founder-friendly and ecosystem-building relationships based on mutual support rather than financial transactions.


2. Registration and Memorandum of Understanding

2.1 Initial Registration

When you register interest in becoming a Program Partner, you grant us permission to:

  • Review and evaluate your organisation's fit with Speed2Seed's mission and values

  • Contact you about partnership opportunities and cohort schedules

  • Share information about the programme structure and partnership benefits

2.2 Formal Partnership via MOU

Formal admission to the Program Partner network requires execution of a Memorandum of Understanding (MOU) between your organisation and Xamun Technologies Ltd.

The MOU governs:

  • Partnership term and renewal

  • Cohort participation (optional, flexible)

  • Co-promotion obligations

  • Intellectual property and brand usage

  • Termination provisions

  • All other material partnership terms

2.3 These T&Cs and the MOU

These Terms and Conditions apply to all Program Partners and supplement the MOU. In the event of any conflict between these Terms and the MOU, the MOU shall prevail.


3. Partnership Structure

3.1 No Partnership Fees

Speed2Seed charges no fees to become or remain a Program Partner. Partnership is based on mutual support and ecosystem building. The only "cost" is time invested in co-promotion activities as specified in your MOU.

3.2 Optional Venue and Event Sponsorship

Partners may optionally provide:

  • Venue sponsorship (providing space for programme events)

  • Food/catering sponsorship for programme events

These are in-kind contributions, not financial obligations, and are documented in separate annexes to your MOU.

3.3 Flexible Cohort Participation

Program Partners may:

  • Elect to participate in all cohorts during the partnership term

  • Select specific cohorts to support

  • Opt in or out of individual cohorts with notice

Your decision to participate or not participate in a particular cohort does not affect your overall partnership status.


4. Partner Benefits and Promotional Use

4.1 Website Recognition

Program Partners are listed on the Speed2Seed website with:

  • Your organisation name, logo, and description

  • Cohort-specific designations when applicable (e.g., "Manila HealthTech Cohort 1 Partner")

  • Enhanced recognition for venue and event sponsors

4.2 Promotional Materials

By becoming a Program Partner, you grant Speed2Seed permission to:

  • Display your organisation name, logo, and profile on the Speed2Seed website

  • Feature you in Program Partner listings and directories

  • Include your organisation in promotional materials, presentations, and programme communications

  • Mention you in social media posts about Program Partners

  • Reference your partnership in public communications and press materials

4.3 Brand Usage

Each party grants the other a non-exclusive, royalty-free licence to use respective logos and marks solely for co-promotion activities during the partnership term, in accordance with brand guidelines.


5. Partner Conduct and Professional Standards

5.1 Code of Conduct

All Program Partners must:

  • Treat founders, mentors, investors, and other partners with respect and professionalism

  • Support Speed2Seed's mission of strengthening the startup ecosystem

  • Maintain appropriate standards in all programme-related activities

  • Comply with all applicable laws and regulations

  • Honour confidentiality obligations regarding sensitive startup or programme information

5.2 Conflicts of Interest

Partners must disclose any actual or potential conflicts of interest that could:

  • Compromise the partner's objectivity or impartiality

  • Create unfair competitive advantages

  • Harm founders, startups, or other ecosystem participants

  • Conflict with Speed2Seed's mission or values

5.3 No Exploitation of Programme Access

Program Partners agree not to:

  • Use programme access to unfairly recruit founders, teams, or startups

  • Exploit relationships with startups for predatory commercial purposes

  • Misrepresent the nature or benefits of partnership

  • Act in ways that could harm Speed2Seed's reputation or the interests of startups


6. Admission and Removal

6.1 Admission to Partnership

Formal admission to the Program Partner network occurs upon execution of the MOU by both parties. The specific terms of admission, including partnership tier, cohort participation, and obligations, are documented in your MOU.

6.2 Removal from Partnership

In the unlikely event that a partner's behaviour or actions are incompatible with the programme, removal from the Program Partner network is governed by the termination provisions in your MOU.

Your MOU specifies:

  • Grounds for early termination (material breach, insolvency, etc.)

  • Notice periods and cure opportunities

  • Termination for convenience provisions

  • Effect of termination on brand usage and website listings

Upon termination (for any reason), Speed2Seed will remove your organisation's name, logo, and profile from Program Partner listings within 5 working days, as specified in your MOU.

6.3 Voluntary Withdrawal

If you wish to end your partnership before the MOU term expires, follow the termination for convenience provisions in your MOU, which typically require 30 days' written notice to [email protected].


7. Confidentiality

7.1 Confidential Information

As a Program Partner, you may have access to:

  • Startup business strategies, plans, and sensitive information

  • Programme frameworks, methodologies, and resources

  • Internal Speed2Seed operational information

  • Personal information about founders, mentors, and investors

7.2 Confidentiality Obligations

Program Partners agree to:

  • Hold all confidential information in strict confidence

  • Not disclose confidential information to third parties without written consent

  • Use confidential information only for purposes of fulfilling partnership obligations

  • Protect confidential information with appropriate safeguards

7.3 Exceptions

Confidential information does not include information that:

  • Is already known without obligation of confidentiality

  • Becomes publicly available through no fault of the partner

  • Is independently developed by the partner

  • Must be disclosed pursuant to legal obligations

Confidentiality obligations survive termination of the partnership.


8. Intellectual Property

8.1 Programme IP Remains with Speed2Seed

All Speed2Seed programme materials, frameworks, methodologies, curriculum, and resources remain the intellectual property of Xamun Technologies Ltd.

8.2 No Ownership Rights

Program Partners do not acquire:

  • Ownership rights to Speed2Seed's intellectual property

  • Rights to use Speed2Seed IP beyond the scope authorised in the MOU

  • Claims to startup intellectual property or business concepts

8.3 Quality Control

Each party may request removal or modification of any use of its marks that:

  • Does not comply with brand guidelines

  • Could reasonably harm reputation or brand integrity

  • Exceeds the scope authorised in the MOU


9. Liability and Disclaimers

9.1 Partnership "As Is"
Speed2Seed provides partnership opportunities "as is" and makes no warranties or guarantees regarding:
  • The quality, viability, or success of startups in the programme

  • Specific business development opportunities arising from partnership

  • Outcomes for startups or ecosystem impact

  • Value derived from partnership activities

9.2 Limitation of Liability

To the fullest extent permitted by law:

  • Speed2Seed, Xamun.AI, and their respective directors, officers, employees, and affiliates shall not be liable for any indirect, consequential, incidental, special, or punitive damages arising from the partnership

  • Speed2Seed's total aggregate liability is limited as specified in your MOU

  • This does not limit liability for death, personal injury, fraud, or other liabilities that cannot be legally limited

9.3 No Warranties on Programme Outcomes

Speed2Seed does not guarantee:

  • Startup success or fundraising outcomes

  • The quality or accuracy of information provided by startups

  • Specific benefits or results from Program Partnership

  • That partnerships will lead to business opportunities

9.4 Indemnification

Indemnification obligations for both parties are specified in your MOU and include protection against claims arising from breach, negligence, or misuse of intellectual property.


10. Data Protection and Privacy

10.1 Personal Data Collection

Speed2Seed collects and processes personal data from partner organisation representatives in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR).

Data collected includes:

  • Contact information (names, email addresses, phone numbers)

  • Organisation details (company name, website, focus areas)

  • Partnership activity data (events attended, promotions shared)

10.2 How We Use Partner Data

Partner data is used to:

  • Administer partnership relationships and MOU execution

  • Communicate programme updates and cohort opportunities

  • Coordinate co-promotion activities

  • Produce programme reports and impact assessments

  • Improve programme quality and partner experience

10.3 Data Sharing

We may share partner data with:

  • Programme founders during partner introduction activities

  • Other ecosystem stakeholders for collaborative opportunities

  • Service providers assisting with programme operations (under confidentiality obligations)

  • Legal authorities if required by law

10.4 Your Data Rights

Partner organisation representatives have the right to:

  • Access personal data we hold

  • Request correction of inaccurate data

  • Request deletion of data (subject to legal retention requirements)

  • Object to certain processing activities

11. Relationship of the Parties

11.1 Independent Entities

Speed2Seed and Program Partners are independent entities. The partnership relationship does not create:

  • An employment relationship

  • An agency relationship

  • A partnership or joint venture (legal sense)

  • Authority for one party to bind the other

11.2 No Financial Obligations

This partnership creates no financial obligations between parties. There are no fees, payments, or monetary compensation. Venue and event sponsorships (if provided) constitute in-kind contributions, not financial transactions.


12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and Conditions, and all Program Partner relationships, are governed by the laws of England and Wales, without regard to conflict of law principles.

12.2 Dispute Resolution

Disputes shall be resolved in accordance with the dispute resolution provisions in your MOU, which typically provide for:

  • Good faith negotiation as the first step

  • Arbitration with the London Court of International Arbitration (LCIA) if negotiation fails

  • English language proceedings

  • London as the seat of arbitration

12.3 Informal Resolution First

Before initiating formal proceedings, partners are encouraged to contact [email protected] to attempt informal resolution. Many concerns can be addressed through open communication.


13. General Provisions

13.1 Entire Agreement

These Terms and Conditions, together with your executed MOU and any annexes, constitute the entire agreement between your organisation and Speed2Seed regarding Program Partnership.

13.2 Amendment

These Terms may be updated from time to time. Material changes will be communicated to Program Partners. Continued partnership after changes constitutes acceptance of updated Terms.

Your MOU may only be amended by written agreement signed by both parties.

13.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

13.4 Survival

Provisions that by their nature should survive termination (including confidentiality, intellectual property, liability limitations, and governing law) shall survive termination of the partnership.

15. Acknowledgement and Acceptance

By registering interest in Program Partnership or by executing an MOU with Speed2Seed, you acknowledge and agree that:

  1. You have read and understood these Terms and Conditions

  2. You agree to be bound by these Terms and your executed MOU

  3. You understand that formal partnership requires execution of an MOU

  4. You understand that partnership is based on co-promotion and ecosystem support, not financial transactions

  5. You will honour confidentiality obligations regarding sensitive information

  6. You will comply with professional conduct standards and avoid conflicts of interest

  7. You understand that admission and removal from the programme are governed by your MOU

  8. You accept the liability limitations and disclaimers outlined herein

  9. You will use Speed2Seed's brand and marks only as authorised in your MOU

  10. You understand that Speed2Seed makes no guarantees about partnership outcomes or startup success

If you do not agree to these Terms and Conditions, please do not register or execute an MOU as a Program Partner.
